1. DEFINITIONS in these Terms:

Agreement means an agreement entered into for the provision of Services by AGILE SECURITY to the Client;

Client means a person, firm or corporation jointly and severally if there is more than one, acquiring Services from AGILE SECURITY;

Force majeure means any event or circumstances beyond AGILE SECURITY’s immediate control, including but not limited to strikes, trade disputes, breakdown of plant, machinery or equipment, shortage of materials, civil commotion, war, emergency, destruction or damage due to natural forces, fire, flood, explosion, or compliance with orders of national or local authority.

GST means the Goods and Services Tax as defined in A New Tax System (Goods and Services Tax) Act 1999 (Cth) as amended;


Location means the location, venue or event where AGILE SECURITY provides the Services;

Quotation means the any quote or proposal provided by AGILE SECURITY or attached to these Terms and for the Supply of Services;

Services means the security services to be provided by AGILE SECURITY as described in the Quotation;

Terms means these Terms and Conditions for the Provision of Services.


2.1 Unless otherwise agreed in writing, the Terms apply exclusively to every Agreement.

2.2 Any Quotation provided by AGILE SECURITY to the Client for the proposed supply of Services is valid for 30 days, is an invitation to treat only, and is subject to the Client irrevocably offering to enter into an Agreement on these Terms.

2.3 The Terms may include additional terms in the Quotation.

2.4 The Agreement is accepted by AGILE SECURITY when AGILE SECURITY signs this Agreement or Provides the Client with the Services.

2.5 AGILE SECURITY may refuse to accept any offer by the Client

2.6 AGILE SECURITY may vary or amend these Terms by written notice to the Client at any time prior to acceptance by AGILE SECURITY.


3.1 Unless otherwise stated, prices quoted, in writing or verbally, for the supply of the Services exclude GST and any other taxes or duties imposed on or in relation to the Services. In addition to the payment of the prices of the Services, the Client must pay any GST and other taxes or duties imposed on the Services.

3.2 If there is any change in the costs incurred by AGILE SECURITY in relation to the Services, AGILE SECURITY may vary its price to take account of any such change by notifying the Client.

Unless otherwise agreed, payment for the Services must be made in full to AGILE SECURITY within seven (7) days of the invoice date.

3.3 AGILE SECURITY reserves the right to require a deposit or advance payment prior to commencement of the Services.

3.5 Payment terms may be revoked or amended at AGILE SECURITY’s sole discretion immediately upon written notice to the Client.

3.6 All payments must be made to AGILE SECURITY without any deduction or set-off.


4.1 If the Client requests any changes to the Quotation or the scope of Services, AGILE SECURITY may in its discretion:

a) Reject the request for variation;
b) Increase the price to account for the variation;
c) Provide a revised Quotation for the Services; or
d) Provide a separate Quotation for the additional Services.
